Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Stryvr platform, including our mobile applications and website (collectively, the “Service”), operated by Stryvr (“Stryvr,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into these Terms.

2. What Stryvr Is

Stryvr is a marketplace that connects individuals seeking group fitness activities (“Seekers”) with independent organizers who create and run those activities (“Hosts”). Stryvr is a venue and technology provider only. We do not organize, lead, supervise, or control events, and we are not a party to any agreement between a Seeker and a Host. Hosts are independent third parties and are not employees, agents, or representatives of Stryvr. Stryvr does not endorse, guarantee, or assume responsibility for any event, Host, Seeker, or content on the Service.

3. Accounts

You may register as a Seeker or apply to become a Host. Host applications are subject to review and approval at Stryvr's sole discretion, and approval may be revoked at any time. You agree to provide accurate, current, and complete information, to keep it updated, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.

4. Assumption of Risk and Liability Waiver

Participation in physical fitness activities carries inherent and significant risks, including but not limited to physical injury, disability, and death. These risks may result from your own actions, the actions of Hosts or other participants, the condition of the venue or equipment, or other causes. By using the Service and participating in any event, you knowingly and voluntarily accept and assume all such risks.

To the fullest extent permitted by law, you release, waive, and discharge Stryvr and its officers, employees, and affiliates from any and all claims, liabilities, demands, and causes of action arising out of or related to your participation in any event or your use of the Service, whether caused by negligence or otherwise. You acknowledge that Stryvr does not screen events for safety and does not supervise events.

You are responsible for consulting a physician before beginning any fitness activity and for determining whether an activity is appropriate for your health and ability.

5. Host Responsibilities

Hosts are solely responsible for the events they create, including the accuracy of event listings, the safety and lawfulness of their events, securing appropriate venues, permits, insurance, and qualifications, and complying with all applicable laws. Hosts must acknowledge Stryvr's safety requirements during registration. Stryvr may remove any event or revoke Host status at any time and for any reason.

6. Payments, Fees, Refunds, and Payouts

Events may be free or paid. For paid events, Seekers pay the ticket price listed at checkout; no separate platform fee is added to the price the Seeker pays. Payments are processed by Stripe; Stryvr does not collect or store your full payment card details. Your use of payment features is also subject to Stripe's terms.

Stryvr retains a platform service fee from each paid transaction, and payment processing fees also apply; the remainder is paid out to the Host. Host payouts are released after the event takes place, subject to a short holding period.

Each paid event has a refund policy set by the Host — no refunds, refunds available up to 24 hours before the event, or refunds available up to 7 days before the event — which is shown before purchase. If a Host cancels a paid event, ticket holders receive an automatic full refund. Seeker-initiated refunds are honored only where the event's stated policy allows. Refunds are returned to the original payment method.

7. Acceptable Use

You agree not to use the Service to: violate any law; post false, misleading, or harmful content; harass, threaten, or endanger others; organize unlawful or unsafe activities; infringe the rights of others; or interfere with the operation or security of the Service.

8. Content and Moderation

You retain ownership of content you submit but grant Stryvr a non-exclusive, worldwide, royalty-free license to host and display it for the purpose of operating the Service. Stryvr may review, remove, or restrict content or accounts, and may suspend or terminate your access, at its discretion, including in response to safety reports.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Stryvr does not warrant that the Service will be uninterrupted, error-free, or secure, or that any event will meet your expectations.

10. Limitation of Liability

To the fullest extent permitted by law, Stryvr will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service or participation in any event. To the fullest extent permitted by law, Stryvr's total liability for any claim arising out of or related to the Service will not exceed the greater of the amount you paid to Stryvr in the twelve months before the claim or one hundred US dollars.

11. Indemnification

You agree to indemnify and hold harmless Stryvr and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your participation in or hosting of any event, your content, or your violation of these Terms or any law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration rather than in court, except that either party may bring a claim in small-claims court. You and Stryvr waive the right to a jury trial and the right to participate in a class action or class-wide arbitration.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
